Dividend

The AGM adopted the proposed total dividend for 2025 of EUR 0.60 per Depository Receipt (DR),

consisting entirely of the interim dividend of EUR 0.60 per DR, that was paid in September 2025. No final dividend was proposed due to a provision made in connection with loans granted to the German fibre-optic market, as well as other provisions following long-term strategic decisions to strengthen a solid foundation for sustainable financial performance.

Changes to the Supervisory Board and Executive Board
Jürgen Rigterink was appointed as a new member of the Supervisory Board for a term of four years. The appointment was supported by the Works Council and approved by De Nederlandsche Bank (DNB). He will also join the Nomination & Remuneration Committee.

Kristina Flügel was reappointed for a second term as member of the Supervisory Board. Her reappointment was supported by the Works Council and approved by DNB. She will also continue in her role as chair of the Nomination & Remuneration Committee.

The AGM was notified of the intended reappointment of Kees van Kalveen for a second term as member of the Executive Board in the position of Chief Financial Officer. DNB has approved the proposed reappointment, and the Works Council issued a favourable recommendation.
