Dividends

If I don't open a trading account, will I receive dividends on Depository Receipts I hold?

As long as you have not opened an account yet, you will not be able to buy or sell Depository Receipts when trading resumes. You will of course continue to have the rights associated with your Depository Receipts, such as the possibility to participate in general meetings and receive any dividends.

How is a dividend announced by Triodos Bank?

A dividend or interim dividend in a specific year will be announced via the press release related to the (half)year results of Triodos Bank and can be found at the section press releases of the website.

What is the dividend policy of Triodos Bank?

The dividend policy can be found on the Depository Receipt section of the website.

How do I receive my dividend?

Depository Receipt Holders with a trading account at Captin’s MTF will receive their dividend on the Depository Receipt Holders' nominated account.

Depository Receipt Holders who have not opened a trading account at Captin’s MTF will receive their dividend on their registered bank account.

Why am I receiving an invitation from ABN AMRO for the SAAT Meeting of Depository Receipt Holders?

Under a cooperation agreement between Triodos Bank and SAAT, Triodos Bank is responsible for organising the Meeting of Depository Receipt Holders and registering votes at this meeting. Given the operational scale of this activity, Triodos Bank has opted to outsource these tasks by choosing ABN AMRO's specialist Corporate Broking Portal, also used by other listed companies for this purpose.

What data does Triodos Bank share with ABN AMRO for the SAAT Meeting of Depository Holders and what is the legal basis for this?

Triodos Bank and SAAT have entered into a cooperation agreement. Under this agreement, Triodos Bank is responsible for organising the Meeting of Depository Holders and registering votes at this meeting. Triodos has chosen to outsource these tasks by using ABN AMRO's Corporate Broking Portal.

The right to vote at the Meeting of Depository Receipt Holders is a right agreed contractually with the depository receipt holders. The legal basis for sharing the data is therefore 'performance of a contract' (AVG Art. 6-1-b).

To enable the organisation of the Meeting of Depository Receipt Holders, Triodos shares the following data with ABN AMRO:

name of the Depository Receipt Holder
e-mail address of the Depository Receipt Holder
physical address of the Depository Receipt Holder
number of certificates per Depository Receipt Holder

ABN AMRO only uses this data for the agreed purpose of organising the Meeting of Depository Receipt Holders and registering votes. The above data will be destroyed by ABN AMRO one month after the end of the meeting.

What will change for me as a Depository Receipt Holder?

Triodos Bank Depository Receipts can be traded continuously on Euronext Amsterdam. You will need a securities account with a bank or broker that facilitates trading in Triodos Bank Depository Receipts. A list of banks and brokers that facilitate trading in Triodos Bank Depository Receipts is available here.

Do I need to take any action if I do not wish to trade on Euronext Amsterdam?

No, your Triodos Bank Depository Receipts will remain registered in your name with Triodos Bank. You will not be able to buy or sell them, but you will continue to receive dividend payments as usual.

Can I decide to trade on Euronext Amsterdam at a later time?

Yes, you can still open a securities account and have your Triodos Bank Depository Receipts transferred after the listing.

Trading Requirements and Accounts

What is a broker?

A broker is a company that faciltates the buying and selling of investments, such as shares or Depository Receipts. You give instructions to the broker, and they place the order on the Euronext exchange on your behalf. Some brokers are part of a larger bank, while others operate independently. What is a securities account and where can I open one?

A securities account (also called an investment account) can be opened at a bank or broker with access to Euronext and that supports trading in Triodos Bank Depository Receipts. A list of such providers is available here.

Can I open a securities account with Triodos Bank?

No, Triodos Bank does not offer securities accounts for continuous trading on Euronext Amsterdam.

Fractions of Depository Receipts

What happens to fractions of Triodos Bank Depository Receipts?

Fractions are parts of a whole certificate, such as 0.25 or 0.5 of a certificate. You own part of a certificate, but not a whole one. Fractions cannot be traded on Euronext Amsterdam. If you transfer your Triodos Bank Depository Receipts to another broker or are a customer of Captin, Triodos Bank will round up your position to the nearest whole certificate, depending on your situation:

If you already have an account with Captin, rounding will take place automatically before the listing.

I am transferring Triodos Bank Depository Receipts to a bank or broker

If you are transferring to a bank or broker, rounding will occur just before the transfer.

I do not yet have a securities account

If you do not yet have a securities account, the fraction will remain unchanged until you transfer your Triodos Bank Depository Receipts.

How can I transfer my Triodos Bank Depository Receipts to my own securities account?

It is important that the bank or broker where you hold a securities account supports trading in Triodos Bank Depository Receipts on Euronext. If so, you can use a form available on the Triodos Bank website to initiate the transfer. Triodos will ensure the form is shared with your bank or broker to start the process.

Where can I find help with filling out the transfer form?

The transfer form includes step-by-step instructions to help you complete it correctly.

How long does it take to transfer Triodos Bank Depository Receipts?

This process may take several days or even weeks, depending on the parties involved. We recommend allowing at least three weeks.

What are the costs for transferring my Triodos Bank Depository Receipts?

Triodos Bank does not charge any fees for transfers. Your own bank or broker may charge fees. Captin will also not charge any fees in the first year for transfers.

How do I know if my transfer has been completed successfully?

You will receive an email confirmation once Triodos Bank has completed the transfer.

Can I trade Triodos Bank Depository Receipts as soon as I have a securities account?

No, this is only possible once the Triodos Bank Depository Receipts have been transferred to your securities account with a bank or broker that supports trading on Euronext, from that moment on you can participate in trading on Euronext Amsterdam.

Can I sell Triodos Bank Depository Receipts without a securities account?

No, you must transfer your Triodos Bank Depository Receipts to a securities account with a bank or broker that supports trading on Euronext, in order to trade. A list of banks and brokers that support trading is available here.

Can I purchase additional Triodos Bank Depository Receipts via Euronext?

Yes, you can purchase additional Triodos Bank Depository Receipts via your bank or broker, subject to supply and demand on the exchange.

Data processing and cooperation Triodos Bank

Who registers the Triodos Bank Depository Receipt (DR) Holders?

Based on a cooperation agreement with Stichting Administratiekantoor Aandelen Triodos Bank (SAAT), Triodos Bank is responsible for registering DR Holders. Triodos Bank has entered into an agreement with Captin BV (Captin) for the management of the register.

Have agreements been made with Captin regarding data processing?

Captin and Triodos have entered into a cooperation agreement. As an appendix to this agreement, Triodos and Captin have also entered into a data processing agreement in accordance with applicable laws and regulations. The data processing agreement governs the data processing carried out by Captin on behalf of Triodos for the purpose of managing the register of Depository Receipts.

What role does ABN AMRO play in providing services to DR Holders?

ABN AMRO has been engaged to provide various banking services in connection with the listing and trading on Euronext Amsterdam of the certificates issued by SAAT. Their tasks include:

Agent for the listing
Operational support
Organisation of shareholders meetings and sending invitations to these meetings
Paying agent
Representing SAAT vis-à-vis Euroclear Netherlands

Have SAAT and Triodos Bank made agreements with ABN AMRO regarding data processing?

Yes, SAAT and Triodos Bank have entered into a ‘service agreement’ with ABN AMRO, with a ‘data processing agreement’ attached as an appendix, in accordance with the applicable laws and regulations.
